This version is bound to Cohort C1 and governs PSL Membership purchases made from EPIC as issuer.
Primary issuer sales of Cohort C1 PSL Memberships are open under this version. Eligible PSL Memberships may be transferred through the PSL Membership Marketplace subject to applicable requirements.
A PSL Membership is a contractual program-participation designation. A PSL is the parent participation structure, and 10 PSL Memberships are associated with each PSL. A PSL Membership is not an investment, not a security, not a franchise, not equity, not stock, and not a promise of profit or financial return. It does not create corporate membership in Educational Partnerships to Impact Children, Inc., organizational voting rights, governance rights, ownership of EPIC, or ownership of Community Grant Fund assets. No value, liquidity, resale price, appreciation, grant award, or return is guaranteed. Memberships are issued in whole units at a fixed issuer price and confer participation rights only.
1. What these terms cover
These terms record the PSL Membership business rules approved by EPIC Communities as issuer: who may hold a PSL Membership, what a membership carries, how memberships are purchased from EPIC, how memberships may be transferred between eligible holders, and how money moves. Anything not stated here has not been decided.
Cohort C1 consists of 1,000 individually serialized PSL Memberships organized into 100 parent PSLs, with 10 PSL Memberships associated with each PSL. The fixed issuer price is $10.00 per PSL Membership as a one-time purchase, so the 10 memberships within a single PSL total $100.00 and the complete cohort represents $10,000.00 of initial issuer-sale capacity.
Each PSL Membership keeps its own permanent serial number. The parent PSL number and the membership number within that PSL are derived from that serial and are used for presentation, accounting, and program context. Serial numbers, ownership records, payment records, and holder histories issued under earlier versions of these terms are preserved unchanged.
2. What a PSL Membership is not
A PSL Membership is not an investment contract, security, note, share, stock, partnership interest, equity, franchise, business opportunity, or loan. It does not represent ownership in EPIC or ownership of Community Grant Fund assets, is not a fractional ownership interest, and does not create corporate membership, organizational voting rights, or governance rights in Educational Partnerships to Impact Children, Inc. No return, appreciation, income, distribution, resale value, liquidity, or profit is offered, implied, or promised. A resale market existing does not imply that any membership can be sold, or sold at any particular price.
3. Duration of participation
A PSL Membership is purchased once for the published issuer price and carries continuing participation for the operating life of the program. There is no annual renewal, no expiry date, and no recurring charge. EPIC may wind down, suspend, or modify the program under the applicable program rules.
4. Participation carried by a PSL Membership
Every PSL Membership participates equally in EPIC's Community Grant Fund structure, whether held by an individual, a business, an organization, or a Community Partner. Participation is counted in whole memberships. Purchasing a membership does not guarantee a grant, cash payment, financial return, or ownership of grant funds. Grant activity remains subject to applicable eligibility, request, approval, documentation, priority, cooling, maturity, and disbursement requirements.
PSL Membership ownership and Community Partner status are separate. Community Partner visibility and eligible-provider privileges arise only from separate Community Partner approval. Holding a PSL Membership never automatically makes any individual, business, or organization a Community Partner and never automatically creates advertising, provider, or directory privileges.
5. Who may hold a PSL Membership
A holder must be at least 18 years old for the standard checkout and must complete identity verification. Eligible adults may purchase and hold available PSL Memberships under these general terms whether they live in Rockford or elsewhere in the United States. Business ownership and Community Partner status are not required.
Eligible businesses and organizations may hold PSL Memberships in their legal names through a verified authorized representative who certifies authority to act. A parent or legal guardian purchases and holds while identifying a minor as the intended beneficiary; the minor does not become the direct contractual holder under the standard checkout.
Approval requires certifications that the applicant is the controlling party, has authority to act, has disclosed related accounts under common control, understands the membership is not an investment, and is not a sanctioned or otherwise prohibited person. No more than 100 PSL Memberships in a cohort may be held, directly or indirectly, by any single beneficial owner or group of persons under common control. This limit counts held memberships, active reservations, pending purchases and transfers, and current winning auction exposure.
More than one holder may participate within a single PSL, and one holder may hold several memberships within a PSL, including all 10 where available and otherwise permitted. Holding all 10 memberships associated with one PSL means holding the complete PSL.
6. Rockford-specific participation
Rockford is EPIC! is exclusive to Rockford. Verified adult City of Rockford residents may participate regardless of business ownership or Community Partner status and may record the Rockford-specific school and support-focus preferences EPIC publishes. Purchasing or holding from outside Rockford does not create eligibility for Rockford-only preferences, grants, giveaways, or other local benefits.
A recorded school or support-focus selection is a private, nonbinding preference. It is not a grant award, a reserved balance, a school wallet, or a promise of funding, and it never transfers ownership of a PSL Membership to a school, teacher, program, or student. EPIC does not publish identifying information about minor students.
7. Purchasing from EPIC
PSL Memberships are offered only in whole units at the fixed issuer price published for the cohort. Prices are set by EPIC and are never supplied or negotiated by the purchaser. A standard primary issuer order may contain 1 to 10 available PSL Memberships.
The purchaser chooses a quantity only. The purchaser does not select serial numbers and does not select a parent PSL. EPIC assigns the complete order together within a single PSL: EPIC selects the lowest-numbered PSL that contains enough currently available memberships to fill the entire requested quantity. A standard primary order is never split across parent PSLs.
Reserved serials are held for 30 minutes; a reservation is not a sale and is not presented as completed issuance. Memberships are issued only after payment has settled and has been independently verified with the payment provider. Payment is taken before holder approval is final; an applicant who is not yet approved may hold only one paid-pending-approval issuer order at a time. If an application is not approved, the payment is refunded.
8. Transferability and holding period
A PSL Membership may be transferred only to another eligible, approved holder, only through EPIC's own PSL Membership Marketplace, and only in whole units. Private transfers, off-platform sales, pledges, and assignments are not recognized and have no effect on the ownership record.
A newly acquired membership may not be listed, auctioned, or resold for 30 days from its acquisition. The 30-day period restarts on each acquisition.
A marketplace transfer changes the holder of an existing membership. It does not create another PSL Membership, does not increase the 1,000-membership cohort total, and does not reopen a PSL that is already full.
9. Fixed-price resale and the minimum price
A holder may list eligible memberships at a price the holder sets for each serial number. The minimum gross price for a serial is the ceiling of that serial's actual acquisition basis multiplied by 102 percent. Basis excludes taxes and transaction fees. A bundle must carry a separate price for every serial it contains, and each underlying membership keeps its own identity within the bundle.
A listing lasts 30 days and may be cancelled by the seller at any time until a buyer's payment authorization has started.
10. Auctions
An auction runs for 3 days, uses ascending bids, may carry a reserve, and enforces minimum bid increments. Any bid placed in the final 5 minutes extends the auction by a rolling 5 minutes.
A bid may not be withdrawn or modified after it is placed. A seller may not bid on the seller's own auction, and neither may an affiliate or any person under common control with the seller. Every bid requires full payment authorization of the bid amount; a replacement authorization is verified before a displaced authorization is voided. Only the winning bid is captured.
11. Fees, proceeds, and payouts
The buyer pays EPIC. On each marketplace sale the seller pays EPIC a fee of 10 percent of gross consideration plus the actual payment processing costs of that transaction. Before committing, a seller is shown gross price, EPIC fee, estimated processing cost, estimated net proceeds, and a warning when estimated net falls below the seller's basis.
EPIC records a transaction-specific payable to the seller and pays that payable. EPIC does not operate a wallet or hold balances on a holder's behalf. The standard payout hold is 7 days after settlement. EPIC retains a rolling reserve of 10 percent of proceeds for 60 days. EPIC may extend a hold for risk review or an open dispute.
A marketplace resale is not a primary issuer sale and does not create another primary-sale contribution to the Community Grant Fund.
12. Disputes, reversals, and finality
Marketplace sales are final except in cases of fraud, unauthorized or duplicate payment, technical failure, a payment provider reversal, or a confirmed error. While a dispute is open, the affected memberships and any unpaid proceeds are frozen.
A reversal is recorded as a compensating, append-only ownership event. History is never rewritten. Where possible, the prior acquisition basis and acquisition time of an affected serial are restored. A legitimate primary issuer reversal returns the membership to issuer inventory and its parent PSL again shows that membership as available.
13. Records and reporting
EPIC records gross consideration, fees, processing costs, and net proceeds for each marketplace sale, together with the parties and serial numbers involved. A seller may be required to provide tax information before a payout is released, and EPIC may be required to report proceeds to tax authorities.
14. Restrictions and enforcement
EPIC may suspend a listing, auction, bid, transfer, payout, or holder account where it identifies fraud, manipulation, related-party bidding, sanctions or identity concerns, cap circumvention, or a breach of these terms. EPIC may halt any or all marketplace activity at any time.
15. Donations and advertising are separate
A charitable donation to EPIC is not a PSL Membership purchase and creates no PSL Membership ownership, marketplace rights, corporate membership, voting rights, withdrawal right, or grant entitlement. Football’s Greatest Bears advertising is a separate media purchase under the advertising terms and creates no PSL Membership ownership, Community Partner status, or grant rights.
16. Versioning
Each version of these terms carries an immutable identifier. The identifier of this version is EPIC-PSL-PURCHASE-TERMS-2026-08-D. A purchase, listing, bid, or transfer is accepted only against the exact version bound to the cohort at that time, and that acceptance is recorded with the transaction. Versions EPIC-PSL-PURCHASE-TERMS-2026-08-A, EPIC-PSL-PURCHASE-TERMS-2026-08-B, and EPIC-PSL-PURCHASE-TERMS-2026-08-C are preserved unchanged as history and continue to govern anything accepted under them.
